General Terms and Conditions – Elence Creative Solutions

1. Company details
Elence Creative Solutions is a sole proprietorship registered with the Chamber of Commerce under number 97546658, with the main activity "Specialist design" (SBI code 74101).

2. Applicability
These general terms and conditions apply to all quotations, agreements, services and deliveries of Elence Creative Solutions, unless expressly agreed otherwise in writing.

3. Services
Elence Creative Solutions supplies, among other things:

  • Web design and development (mainly via Shopify);

  • Graphic design and branding;

  • Maintenance, support and updates of websites;

  • SEO support and online marketing.

4. Quotations and orders
4.1 Quotations are without obligation and valid for 14 days.
4.2 An order is placed after written confirmation (by e-mail or form).
4.3 Elence Creative Solutions reserves the right to refuse assignments that fall outside the service spectrum.

5. Ownership and transfer
5.1 By default, the website remains under the technical management of Elence Creative Solutions.
5.2 If the customer wants full transfer and management (including Shopify account and hosting), this is possible after a one-time transfer fee.
5.3 After transfer, Elence Creative Solutions is no longer responsible for technical support unless a maintenance contract is purchased.

6. Payment
6.1 Payment must be made within 14 days of the invoice date, unless otherwise agreed.
6.2 In case of late payment, Elence reserves the right Creative Solutions reserves the right to suspend work.
6.3 Any collection costs will be borne by the customer.
6.4 Work performed on an hourly basis will be invoiced at the hourly rate as stated in Article 7.4.

7. Maintenance & packages
7.1 Maintenance is available from €30 per month (basic updates).
7.2 For larger changes or design adjustments, a modified rate applies (from €125 or on a project basis).
7.3 Domain name registration and hosting can be managed through Elence or by the customer themselves.
7.4 For work outside of basic maintenance, such as additional adjustments or updates, an hourly rate of €50 (excluding VAT) applies. Time spent is rounded up to the nearest quarter hour.

8. Liability
8.1 Elence Creative Solutions is not liable for damages resulting from misuse of the website or delays beyond the control of Elence Creative Solutions, such as disruptions to external platforms, force majeure, or missing customer input.
8.2 Elence Creative Solutions is not responsible for external services such as Shopify, Google Ads or third-party plugins.

9. Intellectual Property
9.1 All designs, visuals and concepts remain the property of Elence Creative Solutions until full payment is received.
9.2 It is not permitted to reproduce or resell material without written permission.

10. Cancellation & Termination
10.1 Orders can be cancelled free of charge up to 7 days after confirmation.
10.2 In the event of interim termination, invoices will be issued based on work already performed.

11. Applicable law
Dutch law applies to all agreements. Disputes will be submitted to the competent court in the district where Elence Creative Solutions has its registered office.
